JamaicaYard’s Member Guidelines

1. NAME & LOCATION 

1.1 This document sets out the Membership Guidelines for members of (referred to hereafter as “Jamaica Yard”) which is located at 3 Jamaica Street, Edinburgh, EH3 6HH (“the premises”).

2. OBJECTS OF JAMAICA YARD

2.1 The objects of Jamaica Yard are the provision of co-working facilities and social spaces for the exclusive use of members.

3. OWNERSHIP & KEY PRINCIPLES 

3.1 Jamaica Yard is a division of Hive Spaces Limited, (Registered Office: 19 Rutland Square, Edinburgh EH1 2BB; Company Registration Number: SC683903).

3.2 Membership at Jamaica Yard does not entitle members to own or participate in any shares, voting or other shareholder matters of Jamaica Yard or the Company. 

3.3 The Company is responsible for the provision of facilities and services as set out in this document and for bearing the cost of these operations.

3.4 Members shall not have any financial liability for the operation of the space by reason of their membership at Jamaica Yard. Each member’s financial responsibility is limited to payment of monthly membership fees, payment for items or services consumed by the member and, where applicable, payment for the repair and/or replacement costs of any article or property of Jamaica Yard damaged, destroyed or lost by the member. 

3.5 These Membership Guidelines may be amended from time to time by Jamaica Yard. The latest version of these guidelines will be made available on request and published on jamaica-yard.com.

4. DIRECTION & MANAGEMENT

4.1  Responsibility for the direction and management of Jamaica Yard rests with the directors of the Company, supported by the management team appointed by the Company.

4.2  Members will not participate in the direction and management of Jamaica Yard unless appointed by the Company. 

4.3  Primary contact within the Jamaica Yard management for members is through the email address: hello@hive-spaces.com. 

5. MEMBERSHIPS

5.1 The following categories of membership are available: 

(a) Jamaica Yard Monthly Pollen Membership: Member has access to the space for up to two days a week every month

(b) Jamaica Yard Monthly Bumble Membership: Member has access to the space for up to three days a week every month

(c) Jamaica Yard Monthly Queen Membership: Member has unlimited access to the space for five days a week every month

5.2  Jamaica Yard may from time to time add, remove or change categories of membership. 

5.3  Benefits of memberships are set out in the Schedule Part 1, which may be amended from time to time at the discretion of Jamaica Yard. 

5.4  Memberships are personal to the member, and members may not transfer, assign or share member’s membership or the benefits of membership to any other person. 

5.5  Jamaica Yard is available for use by all members. Where a member is over-using the facilities, the Membership Team may ask the member to regulate their use for the benefit of all members. 

6. MEMBERSHIP PAYMENT 

6.1  Following the completion of our new member application form, Jamaica Yard will send the member their first monthly invoice before the end of the month. If the member signs up midway through the month, Jamaica Yard will send a pro-rata invoice for their first month only. All payments shall be made within 14 days upon receipt of the invoice.

6.2  Membership benefits may only be enjoyed following payment of applicable membership fees. 

6.3  Membership membership fees are set by Jamaica Yard and may be amended at any time. Members will be notified of any such amended annual membership amounts in advance of the change. 

6.4  Failure by the member to pay any applicable membership fee (or any instalment thereof) for a period of one month following the due date shall constitute a material breach of these Membership Guidelines and may result, in the discretion of Jamaica Yard, in suspension or cancellation of the membership. 

7. PAUSING OF MEMBERSHIP 

7.1  A member may pause their membership up to two times a year. The length of the freeze will be agreed between the member and Jamaica Yard, and cannot be extended or shortened. 

7.2  Members may request their membership to be paused for exceptional reasons (such as a prololged period of ill health). Jamaica Yard can accept such requests in its sole discretion, and will notify the member in writing of this decision, specifying the effective date from, and the period during which, the membership will be paused. During any period when a membership is frozen, membership benefits cannot be enjoyed and fees will not be due. 

8. CANCELLATION OF MEMBERSHIP BY THE MEMBER 

8.1  A member may cancel their membership of Jamaica Yard at any time by providing written notice to hello@jamaica-yard.com. Their membership will come to an end at the start of the following month. 

9. SUSPENSION & CANCELLATION OF MEMBERSHIP BY JAMAICA YARD

9.1  Material and/or persistent breach of the Membership Guidelines by a member or a guest of a member may result in suspension or cancellation of membership at the discretion of Jamaica Yard. Non-payment of membership fees or any other sums due to Jamaica Yard by their due date represents a material breach of the Membership Guidelines. 

9.2  During any period of suspension, the suspended member will be unable to enjoy the benefits of membership and no joining or membership fees shall be returned or refunded. Jamaica Yard will determine in its sole discretion when any period of suspension comes to an end. 

9.3  A member whose membership has been cancelled by Jamaica Yard may not apply again to become a member of Jamaica Yard and may not visit the premises as a guest of another member. 

10. FACILITIES & SERVICES 

10.1  The facilities, services and benefits available to members are set out in Schedule Part 1. Jamaica Yard reserves its right to change, withdraw and/or enhance any or all of the facilities, services and/or benefits from time to time. 

10.2  Jamaica Yard may from time to time close all or part of the facilities or withdraw or suspend any or all of the services or benefits to members and their guests, including for private events, essential refurbishment, maintenance or repair, and/ or to comply with any legal or operational requirements. When facilities or services are closed, Jamaica Yard will use its reasonable endeavours to reinstate them as soon as reasonably practicable. 

10.3  Use of any of Yard Athletic or other facilities available at Jamaica Yard is entirely at the risk of the member. 

10.4  Members should only use gym or other equipment at the premises, or undertake any activity at Jamaica Yard, if they are satisfied that they are competent to do so in a safe and proper manner. 

10.5  Members should take care to safeguard their own health and safety and that of others when using Yard Athletic. Subject to Section 17 of these Membership Guidelines, members are solely responsible for all loss, liability, damage or injury caused to themselves, their guests, other persons, or to the equipment and/or facilities arising as a result of such member’s or its guest’s unsafe or improper use. This includes use of equipment or facilities while under the influence of alcohol, drugs or medication, or failure to advise Jamaica Yard of any medical condition relevant to the use of the equipment or facilities. 

10.6  Members and their guests are solely responsible for any personal items or property they bring onto the premises and such items and property shall be entirely at the risk of the members and/or their guests. 

11. PERSONAL INFORMATION 

11.1  Each member acknowledges, consents and agrees that Jamaica Yard will hold and maintain a membership list containing the names, contact details as necessary to administer and provide the facilities, services and benefits in connection with membership. 

11.2  Each member warrants and represents the accuracy of the information it provides to Jamaica Yard. Members must provide updates to Jamaica Yard of any changes to member’s details.

11.3  Jamaica Yard shall comply with all applicable data protection and privacy laws in their processing of personal data. 

12. CONDUCT OF MEMBERS 

12.1 Members are required to comply with the Conduct relating to membership of Jamaica Yard, as set out in the General Conduct Guidelines Below. 

12.2 Each member shall be fully responsible for repairing, replacing and/or otherwise making good any and all loss, damage or  destruction to any article or property of Jamaica Yard or of any other member, guest or occupant of the premises caused by such member. 

12.3 Material and/or persistent breach by a member of the General Conduct Guidelines may result in suspension or cancellation of that member’s membership, at the sole discretion of Jamaica Yard.

13. INTELLECTUAL PROPERTY 

13.1 Members and their guests shall not copy, reproduce, display or use (or authorise others to do the same) the names, logos, getup, trade marks (registered or unregistered), trade dress, photographs, or other identifying features of Jamaica Yard, the premises without first obtaining the specific prior written approval of Jamaica Yard as to the specific and limited use. 

14. LIABILITY 

14.1 Save in respect of fraud, death or personal injury to a member or guest caused by the negligence of Jamaica Yard, or any other matter that cannot be limited or excluded at law, Jamaica Yard excludes to the fullest extent permitted at law, liability for any loss, damage or injury arising out of the  use of the premises and/or facilities, howsoever caused, whether arising in negligence, delict, tort, breach of contract, breach of warranty or statutory duty. 

14.2 Jamaica Yard accepts no responsibility for any items or property brought onto the premises by members or guests and, as set out in Section 12.6, such items and property shall be entirely at the risk of the members and/or their guests. 

15. FORCE MAJEURE 

15.1 Jamaica Yard shall not be obliged to perform any obligations under membership agreements if such performance is impossible, substantially more difficult or delayed as a result of: Acts, Orders or Regulations issued by central or local government, industrial disputes (whether official or unofficial), terrorism, war, hostilities, pandemics, riots, flood, fire, accident, act of God, epidemic, failure or shortage of supplies, emergency maintenance to the Jamaica Yard, or from any other cause, event or occurrence which Jamaica Yard is either unable to prevent or could not reasonably expect to prevent having due regard to its interests (a force majeure event). Jamaica Yard shall not be liable for any loss, damage, cost or delay arising from or as a result of such non-performance. 

16. OTHER IMPORTANT CONDITIONS 

16.1 Complaints should be made promptly to the Space Manager. Any questions relating to these Membership Guidelines should also be referred to the Space Manager. 

16.2 In the event of any dispute arising as to the meaning or interpretation of these Membership Guidelines or any other matter relating to the operation of Jamaica Yard, the matter shall be referred to the Space Manager of Jamaica Yard, who will consider the matter and revert as soon as reasonably practicable. 

16.3 In the event of dissolution of Jamaica Yard or the Company, the members shall have no right to or claim upon any property of Jamaica Yard or the Company, or be required to share in any discharge of its liabilities, and shall not be entitled to any refund of membership fees. 

16.4 If a court finds any part of this Membership Guidelines to be unlawful, the remainder will continue in full force. 

16.5 If Jamaica Yard delays pursuing any actions under this Membership Guidelines, this does not prevent it from doing so at a later date. 

16.6 These Membership Guidelines, together with the membership application, constitute the entire agreement between Jamaica Yard/the Company and the member, and supersedes all previous discussions, arrangements and understandings, whether oral or written, between them. Nothing in these Membership Guidelines will limit or exclude any liability for fraud or fraudulent misrepresentation. 

16.7 In the event of any conflict between these Membership Guidelines and any other documents, information or materials (including any website), these Membership Guidelines shall prevail. 

16.8 These rules shall be governed and construed in accordance with Scots law and each member agrees to submit to the exclusive jurisdiction of the courts of Scotland. 


General Conduct Guidelines 

1. GENERAL CONDUCT 

Members shall conduct themselves with decency and courtesy at all times. Members should treat other members, guests and staff with respect and should not carry on any activity which is likely to, or does, in the opinion of Jamaica Yard adversely affect the reputation of Jamaica Yard, or which infringes any rights of Jamaica Yard or the Company. Such conduct may include inappropriate (including excessive bad language, shouting or indecent behaviour), violent, or abusive behaviour, consumption of excessive alcohol, or the disclosure or communication of confidential information. Jamaica Yard reserves its right to (i) order the immediate withdrawal from the premises of any member or member’s guests who violate this Conduct code; and/or (ii) suspend or cancel the membership of any member who violates this Conduct code. Any withdrawn, suspended or cancelled member will have no right to re-enter the premises or enjoy member benefits unless and until (in respect of withdrawn and suspended members), Jamaica Yard notifies such member that the requirement to withdraw or period of suspension has expired and/or been lifted. 

2. ENTERING & LEAVING 

Members should enter and leave Jamaica Yard quietly in consideration of the neighbours. 

3 . PRIVACY FOR MEMBERS/GUESTS 

Members should be courteous at all times, and respect the space and privacy of others at Jamaica Yard with whom they are not personally acquainted.

4. MOBILE PHONES 

Members are able to use their phones in all areas of Jamaica Yard, although we do ask that Members are always conscious of all other people sharing their space. If a phone call is likely to cause ongoing disruption to other Members, we ask them to move through to the Common Area or book out a Meeting Room for the duration of their call.

5. DRUGS AND ILLEGAL SUBSTANCES 

Non-prescription drugs are not permitted on the premises at any time. Members should not enter the premises whilst under the influence of non-prescription drugs or any other illegal substance. 

6. SMOKING 

Smoking (including e-cigarettes and vapes) is not permitted inside Jamaica Yard premises at any time. Jamaica Yard may designate certain exterior areas of the premises where smoking is permitted which will be notified to members and these may change from time to time. 

7. ACCIDENTS AND INJURIES AND USE OF FACILITIES 

Should a member or guest have an accident or suffer any injury in Jamaica Yard, this should be reported as soon as possible to a member of staff. Members should not use the facilities/Yard Athletic if they feel unwell or have any health issues without first notifying an appropriate member of staff. 

8. SPECIFIC REGULATIONS 

Signage may on occasions be displayed relating to specific spaces or events and members should observe regulations displayed on such signage. 

9. SPECIAL NEEDS / REQUIREMENTS 

Members should notify Jamaica Yard of any disabilities or known allergies or dietary requirements relating to themselves or their guests.
